MeadowStudio Terms of Service

Welcome to MeadowStudio. Please read these Terms of Service ("Terms") carefully before using the software. This is a binding legal contract between your business and Meadow Technologies Ltd.

By registering an account or using the MeadowStudio application, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the software.

1. Business Use Only & Authority

• Commercial Entity Status: MeadowStudio is a business-to-business (B2B) SaaS platform. It is designed exclusively for commercial, professional, business, or freelance use. You explicitly warrant that you are registering an account on behalf of a business entity, trade, or profession, and not as an individual consumer.
• Authority to Bind: By accepting these Terms, the individual creating the account warrants and represents that they have the full legal authority to bind their employer, company, or organization to these Terms.

2. Account Security & Access

• You are entirely responsible for maintaining the confidentiality of your login credentials (usernames, passwords, and magic links).
• You agree to notify Meadow Technologies Ltd immediately if you suspect or detect any unauthorized access or breach of your account security.
• We reserve the right to suspend or terminate access to any account that we suspect has been compromised or is violating these Terms.

3. Subscriptions, Fees, and Payment

• Subscription Cycles: MeadowStudio is billed on a recurring subscription basis. Payments will be charged automatically at the start of each billing cycle.
• Payment Processing: All payments are securely handled by our third-party payment processors or Merchant of Record (including Stripe). You authorize us to store your payment information and charge your selected payment method.
• Auto-Renewal: Your subscription will automatically renew at the end of each cycle under the same terms unless you cancel it before your renewal date.
• Cancellations and Refunds: You can cancel your subscription at any time via your account dashboard. Because this is a B2B service, all payments are final and non-refundable.

4. Intellectual Property Rights

• Ownership: Meadow Technologies Ltd retains all legal ownership, title, copyright, and intellectual property rights in and to MeadowStudio (including the underlying code, branding, interfaces, database architecture, design elements, and documentation).
• Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the software purely for your business operations during your active subscription period. You may not copy, reverse-engineer, decompile, modify, lease, or resell the software.

5. Data Protection and GDPR

• Data Roles: For the purposes of the UK General Data Protection Regulation (UK GDPR), you (the Client) act as the Data Controller, and Meadow Technologies Ltd acts as the Data Processor regarding any personal data hosted on the platform.
• Processing Scope: We will only process, store, and manage your data to provide the software services and optimize product performance.
• Security: We maintain industry-standard physical and electronic safeguards to secure your data; however, you acknowledge that no digital cloud transmission is 100% impenetrable.

6. Disclaimer of Warranties ("As-Is")

• MeadowStudio is provided to your business on an "As-Is" and "As-Available" basis.
• Meadow Technologies Ltd makes no warranties, express or implied, regarding the software. We do not guarantee that the platform will be entirely free of bugs, uninterrupted, 100% secure, or completely compatible with your existing hardware and third-party systems.

7. Limitation of Liability

• Exclusion of Consequential Loss: To the maximum extent permitted by the laws of England and Wales, Meadow Technologies Ltd will not be liable for any indirect, incidental, special, exemplary, or consequential losses. This means we are not liable for any loss of profits, loss of business revenue, business interruption, loss of data, loss of goodwill, or alternative procurement costs arising out of a server outage or app bug.
• The Liability Cap: In no event shall the total aggregate liability of Meadow Technologies Ltd for all claims relating to MeadowStudio exceed the total amount of fees actually paid by your business to us in the twelve (12) months immediately preceding the event giving rise to liability (or the equivalent of one month's standard subscription fee, whichever is greater).
• Statutory Exceptions: Nothing in these Terms seeks to exclude or limit liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Termination and Data Deletion

• Termination by You: You can terminate this agreement instantly by deleting your account and canceling your active subscription.
• Termination by Us: We reserve the right to restrict access or terminate your account without notice if you fail to pay fees when due, or if you violate our Acceptable Use standards.
• Data Deletion Grace Period: Upon the cancellation or termination of your subscription, your data will remain stored on our servers for a grace period of 30 days to allow you to export your records. Following this window, we reserve the right to permanently purge your data.

9. Governing Law and Jurisdiction

• This agreement, and any non-contractual disputes or claims arising out of it, shall be governed by, interpreted, and construed in accordance with the laws of England and Wales.
• Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes or legal proceedings arising under this contract.
